These Terms of Service (the “Terms”) govern your use of the website at arteractive.co (the “Site”), operated by Arteractive LLC (“Arteractive”, “we”, “us”, or “our”). By accessing or using the Site, you agree to these Terms. If you do not agree, do not access or use the Site.

These Terms apply to the Site only. Each Arteractive product has its own end-user terms delivered with that product.

Eligibility

You may use the Site only if you can form a legally binding contract with Arteractive under applicable law and are not barred from doing so. If you are accessing the Site on behalf of an organization, you represent that you are authorized to accept these Terms on its behalf.

Permitted use

You may view and use the Site for lawful, personal, and informational purposes. You agree not to (a) interfere with or disrupt the Site or the servers and networks that host it, (b) attempt to gain unauthorized access to any part of the Site or its underlying systems, (c) use the Site to transmit malware, distribute spam, or harass any person, (d) scrape, crawl, or extract content at a volume or rate that imposes an undue burden on the Site, (e) use automated means to bypass any access control or rate limit, or (f) reverse engineer, decompile, or disassemble any portion of the Site, except to the extent that applicable law expressly permits such activity notwithstanding this restriction.

Intellectual property

The Site and its contents — including text, graphics, layout, logos, marks, and code — are owned by Arteractive or its licensors and are protected by copyright, trademark, and other laws. We grant you a limited, revocable, non-exclusive, non-transferable license to view the Site for the purposes described above. No other rights are granted by implication, estoppel, or otherwise. All rights not expressly granted are reserved.

Third-party links and content

The Site may link to third-party sites or services. Those properties are operated by parties we do not control, and we are not responsible for their content, policies, or practices. Linking does not imply endorsement, and your use of any third-party site is governed by that site’s own terms and privacy policy.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL ARTERACTIVE, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, BUSINESS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT ARTERACTIVE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ARTERACTIVE’S AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (USD $100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU; IN THOSE JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

Indemnification

You agree to defend, indemnify, and hold harmless Arteractive and its affiliates and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with (a) your access to or use of the Site, (b) your violation of these Terms, or (c) your violation of any third-party right, including any intellectual property or privacy right.

Force majeure

We will not be liable for any failure or delay in performing our obligations under these Terms, or for any unavailability of the Site, that results from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, fire, flood, war, terrorism, civil unrest, government action, labor disputes, internet or telecommunications outages, third-party service failures, power failures, or pandemics.

Modifications and discontinuation

We may, at any time and without notice, modify, suspend, or discontinue any part of the Site, or these Terms, in whole or in part. The effective date above reflects the most recent revision. Continued use of the Site after a change constitutes acceptance of the updated Terms. If you do not agree to a change, you must stop using the Site.

Governing law and venue

These Terms, and any dispute arising out of or relating to these Terms or your use of the Site, are governed by the laws of the State of Indiana, United States, without regard to its conflict-of-laws rules. The exclusive venue for any such dispute is the state or federal courts located in Marion County, Indiana, and you consent to the personal jurisdiction of those courts.

Limitations period

Any claim or cause of action arising out of or related to your use of the Site or these Terms must be filed within one (1) year after the claim or cause of action arose, or it will be permanently barred, except to the extent applicable law prohibits this limitation.

Severability and waiver

If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision is not a waiver of that right or provision.

Entire agreement

These Terms constitute the entire agreement between you and Arteractive regarding your use of the Site and supersede any prior agreements between you and Arteractive on that subject. No oral or written information given by Arteractive will create any warranty or modify these Terms.
